Terms and Conditions

1. Agreement and Account Responsibility

These Terms govern access to Data2Bids, including the web application, APIs, dashboards, project processing tools, bid tools, Google Drive integration, billing screens, notifications, and related services.

By creating an account, signing in, connecting Google Drive, creating a project, or using the platform, you agree to these Terms on behalf of yourself and, when applicable, your company.

• You are responsible for maintaining the confidentiality of credentials, sessions, and authorized devices.
• Company administrators are responsible for inviting users, assigning roles, removing access when needed, and ensuring that team members are authorized to view company data.
• You must provide accurate account, company, billing, and contact information.

2. Multi-Company Data Isolation

Data2Bids is designed as a multi-company platform. Project records, documents, processed fragments, embeddings, billing state, notifications, users, and administrative actions are scoped by company.

• You may not attempt to access another company workspace, project, file, billing record, user list, or processed dataset.
• You may not bypass role checks, company boundaries, authentication, usage limits, billing gates, or security controls.
• If you believe data is visible outside its intended company scope, you must stop using the affected feature and notify us immediately.

3. Google Drive and Connected Sources

When you connect Google Drive, Data2Bids uses Google OAuth to access the folders and files needed for the projects you create or select. The platform stores encrypted OAuth tokens so authorized company processing can continue until access is revoked or disconnected.

The platform indexes metadata, downloads or exports supported files when needed, and processes copies inside Data2Bids infrastructure. Your original Drive files remain in Google Drive.

• You must have the right to connect each folder and process every file in it.
• Data2Bids may read file metadata, file contents, exported Google Docs/Sheets/Slides content, folder structure, and supported attachments for indexing and processing.
• Where the application enables project notes or app-created files, Google permissions may allow Data2Bids to create or update files it creates or that you explicitly authorize. Data2Bids does not intentionally modify or delete your original bid documents.
• You can disconnect Google Drive from the profile or integration screens, or revoke access from your Google Account permissions page.

4. Project Processing, OCR, AI, and Search

Data2Bids processes project materials to extract text, tables, document structure, drawing information, document classifications, fragments, embeddings, previews, logs, and searchable indexes.

Processing may use internal workers and third-party infrastructure or model providers, including OCR, document parsing, vector search, hosted storage, queueing, and AI services.

• Supported files can include PDFs, Office documents, spreadsheets, text files, images, scanned documents, and other formats displayed in the product.
• The platform may store extracted text, generated metadata, embeddings, summaries, classifications, status records, and error details associated with your project.
• AI answers, summaries, classifications, measurements, recommendations, and bid insights may be incomplete or incorrect.
• You are responsible for verifying all AI-assisted output against original source documents and professional judgment before relying on it.

5. Acceptable Use

• Do not upload malware, unlawful content, infringing content, or data you are not authorized to process.
• Do not reverse engineer, scrape, overload, attack, disrupt, or probe the platform except as expressly authorized in writing.
• Do not use Data2Bids to make automated decisions that require legally mandated human review without performing that review.
• Do not use the service to violate privacy, export control, procurement, labor, intellectual property, or confidentiality obligations.

6. Plans, Trials, Billing, and Usage Limits

Plans may include project limits, processing-file limits, active-run limits, queue limits, feature entitlements, trials, and billing gates. Plan details shown in the product or a written order control the commercial package for your company.

• Subscriptions and checkout are processed through Stripe unless another written arrangement applies.
• Data2Bids does not store full payment card numbers, CVV codes, or bank credentials.
• Trials do not automatically guarantee paid access after expiration. Access may be limited until a plan is selected or payment is completed.
• If payment fails, a subscription is canceled, or usage exceeds plan limits, access to projects, processing, or other modules may be queued, restricted, or suspended.
• Cancellations, refunds, credits, and billing corrections are handled according to the plan, checkout terms, and applicable law.

7. Customer Data and Ownership

You retain ownership of the files, project data, bid information, and business content you provide to Data2Bids. You grant Data2Bids the limited rights needed to host, process, secure, troubleshoot, display, and operate the service for your company.

• Data2Bids may generate operational metadata, derived indexes, embeddings, processing status, logs, and analytics needed to run the service.
• You are responsible for the accuracy, legality, and completeness of Customer Data.
• Data2Bids may remove or restrict content if required for security, legal compliance, abuse prevention, or platform integrity.

8. Security and Availability

Data2Bids uses technical and organizational safeguards such as HTTPS/TLS, authentication, role-based access, company scoping, encrypted token storage, logs, and managed cloud infrastructure. No system is guaranteed to be error-free or continuously available.

• Maintenance, deployments, third-party outages, cloud provider incidents, OAuth provider issues, billing provider issues, or capacity limits may affect availability.
• You are responsible for keeping original source documents and backups outside Data2Bids.
• You must promptly notify us of suspected unauthorized access or compromised credentials.

9. No Professional Advice

Data2Bids is a software and AI-assisted document intelligence platform. It does not provide legal, financial, engineering, architectural, tax, procurement, safety, estimating, or professional advice.

• You remain responsible for bid submissions, contract interpretation, compliance review, cost estimates, quantities, deadlines, and business decisions.
• You should consult qualified professionals where professional judgment is required.

10. Suspension and Termination

You may stop using the service at any time. Data2Bids may suspend or terminate access for non-payment, security risk, abuse, legal requirements, violation of these Terms, or actions that could harm the platform or other customers.

• After termination, access to projects and processed data may be limited or removed according to retention, backup, billing, and legal requirements.
• Some provisions, including payment obligations, confidentiality, ownership, disclaimers, limits of liability, and dispute terms, survive termination.

11. Disclaimers and Limitation of Liability

The service is provided on an "as is" and "as available" basis to the fullest extent permitted by law. Data2Bids disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted operation.

• Data2Bids is not liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages.
• Data2Bids is not liable for errors in AI output, source documents, third-party systems, cloud storage, OAuth providers, payment processors, or user-provided data.
• To the fullest extent permitted by law, Data2Bids total liability for claims relating to the service is limited to the amounts paid by your company for the service during the 12 months before the event giving rise to the claim.

12. Governing Law and Contact

Unless a separate signed agreement states otherwise, these Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules.
